The Mergers & Acquisitions department is responsible for structuring and executing a wide range of complex transactions, including acquisitions, divestitures, mergers, joint ventures, corporate restructurings, shareholder relations, recapitalizations, spin-offs, exchange offers, leveraged buyouts and defenses against unsolicited takeover attempts.
The department also establishes and maintains strategic dialogues with existing and potential clients, provides financial advice and solutions to strategic problems and assists clients in achieving short- and long-term strategic objectives.
The M&A department is oriented towards providing the best solution tailored to individual client needs.
Mergers and Acquisitions Foyil Corporate Finance provides advice on mergers and acquisitions, as well as on the sale of entire companies or part of a company to strategic and portfolio investors. Preparation for and implementation of the transaction include:
- analysis of company strategy
- study of the industry and the company’s market position
- search for and selection of targets for integration
- drafting models of the existing and the integrated company
- calculating the value of the company’s equity
- analyzing the future efficiency of the integration
- negotiations
- transaction support and documentation
- obtaining necessary permits and approvals
As corporate advisors, we have made several successful sales of Ukrainian companies to Western strategic investors.
Rogan Brewery In a deal valued at $34.4m, we sold the second largest brewery in Ukraine – Rogan – to the second largest brewery in the world – Interbrew of Belgium. Since the acquisition, in excess of $20m has been invested in Rogan.
Volyn Cement Another corporate finance project was completed in the fall of 2001 when we were appointed as Lead Corporate Advisor in a transaction with one of the largest cement producers in Ukraine, Volyn Cement. The Company was sold to Dyckerhoff Zement International of Germany, one of the world’s five largest cement companies. The transaction value was $15m. |
